Firstly, I want to congratulate Lorraine Duffy and Joy Addison for organising the ?best Australian Parking Convention ever?. The number of attendees and the positive feedback from members, exhibitors, sponsors and guests has eclipsed any event we have previously undertaken. I look forward to the August 2015 Outlook Conference & Forums alongside the Parking Industry Awards for Excellence.
Over the past few months, I have kept you informed of the need to change the 24 year old Parking Australia structure, from an association incorporated in South Australia, to a new Commonwealth Company Limited by Guarantee. In July, a Special General Meeting unanimously passed a resolution to give effect to this and I am now pleased to announce that on 16th September, the final day of the successful PACE 2014, the new Constitution of Parking Australia Limited was signed by the current committee of PA Inc. Within a few weeks PA Ltd will be formally registered with ASIC.
The Objects of the Parking Australia Ltd Company are to:
??act as a national association providing representation and services to Members across Australia;
??promote, foster and ensure a professional profile for the Parking Industry in Australia;
??promote and foster the exchange of knowledge through research, education, conferences and meetings;
??engage with other local and international groups that have an interest in parking related issues;
??collect, compile and make available for Members data and information about the Parking Industry;
??monitor and advocate on issues or areas of interest as may be appropriate from time to time affecting the Members and the Parking Industry.
What does this mean for members?
During October, your nominated representative will receive a copy of the new Constitution and be requested to complete a form which incorporates support of the Objects of the Company and the terms of the new Constitution. As soon as this is provided to the Company Secretary (as appointed ? Lorraine Duffy),your membership will automatically transfer to PA Ltd. There will be no additional costs or membership fee changes in the current financial year. PA Inc. will be de-registered and all of its assets transferred to PA Ltd.
Some of the significant clauses in the new constitution include:
??PA Ltd is limited by guarantee and member?s liability will not exceed $10.
??There are three broad categories of Membership:
1. Parking Facility Members who own, operate or manage parking facilities.
1.1 Public ? not for profit
1.2 Private sector
2. Corporate Members ? who provide products and services to the industry
3. Affiliates ? who do not have a vote.
??New members (excluding those who transfer from PA Inc.) will be required to pay an Application Fee as well as an Annual Membership Fee.
??There will a maximum of 8 elected and 2 co-opted directors.
??The current committee will form the initial Board of Directors.
??Directors will hold office for 2 year terms but with a maximum of 6 consecutive years.
??The Chief Executive is not a director, however has been appointed as the Company Secretary.
??The 2014 AGM will be held in November and at least 3 elected Board of Director positions will be available. (Members are encouraged to nominate).
??No payment shall be made to any Director other than out of pocket expenses incurred.
??The Constitution will be supported with Regulations dealing inter alia with fees, the board nomination process and the use of new technologies to permit more members to participate in meetings.
